Disclosure principles

Sensofusion has a Disclosure Policy approved by the company’s Board of Directors, which sets out the principles and procedures governing the company’s investor communications and financial reporting. The following disclosure principles are based on the Disclosure Policy and summarise the key principles and practices that Sensofusion follows in its communications with capital market participants and other stakeholders.

The objective of Sensofusion’s Disclosure Policy is to provide reliable and timely information to support the correct valuation of Sensofusion’s share. The objective of financial and investor communications is to ensure that all parties operating in the capital markets have equal, sufficient and material information concerning factors affecting Sensofusion’s business available simultaneously and without delay.

The principles of Sensofusion’s investor communications are openness, timeliness, reliability, transparency, consistency, comprehensibility and fairness. The company communicates clearly and consistently about both positive and negative matters simultaneously to the capital markets and stakeholders.

Sensofusion’s primary channel for up-to-date information is the company’s investor website. All stock exchange releases are available on the website for at least five (5) years, and financial reports, a corporate governance statement and remuneration statements for at least ten (10) years after their publication.

Inside information and regulated information required under the Finnish Securities Markets Act and the rules of Nasdaq Helsinki Ltd are always published as stock exchange releases, while other releases are published as press releases, in order to ensure equal, timely and consistent access to information for investors.

Sensofusion publishes the annual report, the half-year report, the financial statements release and financial statements according to a schedule announced in advance. The publication dates of financial results are disclosed before the start of the upcoming financial year.

Sensofusion observes a 30-day silent period in its investor and media relations before the publication of the half-year report or financial statements release. During the silent period, Sensofusion does not comment to the media or other parties on company’s financial position, markets or outlook.

Sensofusion observes a closed window in accordance with the Market Abuse Regulation (EU) No 596/2014 (“MAR”), during which persons discharging managerial responsibilities at Sensofusion may not conduct transactions in Sensofusion’s financial instruments. The closed window begins 30 days before the publication of the financial statements release or half-year report.

As a general rule, Sensofusion does not comment on market rumours or the trading or price development of its shares unless this is necessary to correct material or clearly false information.

If confidential and material information is leaked to a third party who is not subject to a confidentiality obligation, or if inside information is leaked to the public, Sensofusion will disclose the information as a stock exchange release as soon as possible.

In matters concerning inside information, Sensofusion complies with applicable legislation, including MAR, as well as the rules and insider guidelines of Nasdaq Helsinki. Sensofusion also complies with its own insider guidelines approved by the Board of Directors.
